Terms & Conditions – Trinity Peak Construction

1. Scope of Work
All work will be performed as outlined in the written estimate, proposal, or contract. Any work outside this scope requires a written and approved change order. Verbal requests are not binding.

2. Estimates & Pricing
Estimates are valid for [15–30] days unless otherwise stated. Pricing may be subject to change due to material cost increases, supplier pricing changes, or unforeseen site conditions.

3. Payment Schedule
Projects may require a deposit prior to scheduling. Payment is due according to the agreed schedule, which may include:

  • Deposit

  • Progress payments (“draws”) at key project milestones

  • Final payment upon substantial completion

Failure to make payments as scheduled may result in work stoppage.

4. Late Payments & Collections
Past due balances may incur a late fee of [1.5–2%] per month. Client agrees to pay all reasonable collection costs, including legal fees, if required.

5. Change Orders
All changes must be documented in writing and approved before work proceeds. Change orders may impact both price and completion timeline.

6. Project Timeline & Delays
Project timelines are estimates and not guarantees. Delays may occur due to:

  • Weather conditions (especially for exterior work)

  • Material shortages or backorders

  • Labor or subcontractor availability

  • Unforeseen structural or site issues

Trinity Peak Construction is not liable for delays outside its control.

7. Permits & Code Compliance
Unless otherwise specified, the client is responsible for permits and approvals. If Trinity Peak Construction obtains permits, fees will be added to the project cost. All work will be performed to applicable building codes, but pre-existing code violations are not the contractor’s responsibility.

8. Site Access & Conditions
Client must provide clear and safe access to the job site. This includes access to utilities if needed.
Unforeseen conditions (e.g., rot, mold, structural damage, hidden utilities) may require additional work and cost.

9. Exterior Work Disclaimer
Exterior construction is subject to weather and environmental conditions. Color variations, material expansion/contraction, and natural wear are normal and not considered defects.

10. Materials
Client-selected materials are the responsibility of the client for accuracy and availability. Delays caused by material selection, backorders, or discontinued items are not the responsibility of Trinity Peak Construction.

11. Substantial Completion & Punch List
Substantial completion is defined as the stage where the project is usable for its intended purpose. At that point:

  • Final payment is due

  • A punch list of minor remaining items may be completed afterward within a reasonable timeframe

12. Warranty
Trinity Peak Construction provides a workmanship warranty of 6 months from project completion. This does not cover:

  • Normal wear and tear

  • Damage from weather, misuse, or lack of maintenance

  • Manufacturer defects (covered by manufacturer warranties)

13. Right to Stop Work
Trinity Peak Construction reserves the right to stop work immediately if payments are not made, job site conditions are unsafe, or contract terms are violated.

14. Termination
Either party may terminate with written notice. Client agrees to pay for:

  • Work completed to date

  • Materials purchased or ordered

  • Any non-cancelable costs

15. Limitation of Liability
Trinity Peak Construction is insured but shall not be liable for indirect, incidental, or consequential damages. Liability is limited to the value of the contracted work.

16. Dispute Resolution
Both parties agree to attempt to resolve disputes through good-faith negotiation before pursuing legal action. Any legal proceedings shall take place in the State of Tennessee.

17. Acceptance of Terms
Approval of any estimate, signing of a contract, payment of a deposit, or allowing work to begin constitutes acceptance of these Terms & Conditions.
